Asiasoft Corporation Public Company Limited ("The Company") would like to report the information concerning the establishment of a subsidiary as to comply with the Notification of the Stock Exchange of Thailand regarding the information disclosure as following details :-
1. The authorized person and transaction period : Management / The registration of new subsidiary with the Ministry of Commerce has already established on August 13, 2008.
2. Name of new subsidiary : A Capital Co., Ltd.
3. Type of business : Holding Company.
4. Transaction objectives : To extend the business line by invest in the other company.
5. Registered capital : Registered capital : Baht 2,000,000 (20,000 ordinary shares at the par value of Baht 100). Paid-up capital : Baht 500,000.
6. Shareholding proportion : Asiasoft Corporation Public Company Limited holds 19,997 shares, representing 99.99% of A Capital Co. Ltd's registered capital.
7. The investment value : Baht 1,999,700
8. The basis used to determine the value of the consideration : Par value
9. Source of fund for purchasing subsidiary's shares : Working capital.
10. The benefits of the transaction to the Company : dividend
11. Transaction size (%) : 0.116% (calculated by using total value of the consideration criteria).
The aforementioned transaction size is not classified as any transaction class under the Notification of the Stock Exchange of Thailand regarding Rules, Procedures and Disclosure of Acquisition and Disposition of Assets of Listed Company. Nevertheless, the Company is required to disclose the aforementioned information to the Stock Exchange of Thailand as per the Notification of the Stock Exchange of Thailand regarding Rules, Conditions and Procedures of information disclosure and Practices of Listed Company.
